TERMS OF SERVICE

◆ THE SHORT VERSION

  • You own what you upload and the models you build.We don't sell your data or use your private files or models to train models for anyone else.
  • Building a model sends your data to AI providers. When you build a fine-tune, the documents you upload are processed and sent to third-party AI providers — currently OpenAI — to generate the question-and-answer training set (a step called distillation). This is how your model learns from your files. Don't upload anything you're not comfortable being processed this way.
  • We run on cloud infrastructure. Your files, datasets, models, and chats are stored and processed on services like Microsoft Azure, Hugging Face, Google, Stripe, and OpenAI. Details below.
  • AI output can be wrong.Models — especially small fine-tunes — make mistakes. Don't rely on outputs for anything important without checking.
  • Don't upload sensitive or regulated data(personal health data, payment card numbers, government IDs, children's data, export-controlled material) unless we've agreed in writing.

The short version is a summary for convenience; the full terms below govern.

1. Who we are & agreement to these terms

LMshop (the “Service”) is operated by Icosa Computing Inc., a company registered in Delaware with a registered address at 310 Greenwich St, New York, NY 10013 (“Icosa,” “we,” “us”). By creating an account or using the Service, you agree to these Terms of Service (the “Terms”). If you don't agree, don't use the Service.

LMshop is an early-access product provided on an “as is” basis. Features, limits, and pricing may change.

2. What the Service does

LMshop lets you fine-tune (build) language models from documents you provide, then chat with, race, and download those models. Building a model involves generating a training dataset from your documents, training a model on it, evaluating it, and hosting it for you to use.

3. Your account

You sign in with a third-party identity provider (currently Google, via Google Firebase). You're responsible for activity under your account and for keeping your credentials and any API key secure. You must be old enough to form a binding contract in your jurisdiction.

4. Your data, and exactly how we use it

“Your Data” means the documents, files, prompts, messages, datasets, fine-tuned models, and related content you submit to or create with the Service.

You own Your Data. As between you and Icosa, you keep ownership of Your Data and of the models you build. You grant us a limited license to host, process, and transmit Your Data only as needed to operate the Service for you and as described here.

Building a model = sending your documents to AI providers. To turn your documents into a model, we process them and send their contents to third-party large-language-model providers — currently OpenAI— to generate the training questions and answers (“distillation”). We may also send your chat prompts to model providers to produce responses, and (for the Combinatorial Reasoning trial) to OpenAI. These providers process the data under their own terms; we use them to deliver the feature you asked for, not to advertise to you.

Where Your Data lives. We use third-party cloud infrastructure to run the Service. Depending on the feature, Your Data may be transmitted to, processed by, or stored with:

  • OpenAIgenerating training datasets from your documents; some chat and reasoning responses
  • Microsoft Azurefile/model storage (Blob storage), our database (PostgreSQL), and GPU compute for training and inference
  • Hugging Facehosting model and dataset artifacts produced by the build pipeline
  • Google (Firebase)sign-in and authentication
  • Stripepayment processing (card details go to Stripe, not to us)
  • Amazon Web Servicessome model inference

This list may change as the Service evolves; we'll keep it current here. Unless we state otherwise, we don't guarantee Your Data stays in a specific country or region.

We don't train shared models on your private data.Your uploaded documents and the models you build are private to your account. We don't use them to train models for other users, and we don't sell Your Data. We may use aggregated, de-identified usage information (for example, how many builds run, which base engines are popular) to operate and improve the Service.

5. Data you must not upload

You must have the legal right to submit everything you upload. Do not upload:

  • personal health or medical data;
  • payment card numbers or financial-account credentials;
  • government identifiers (SSNs, passports, national IDs);
  • children's personal data;
  • export-controlled or classified technical data;
  • anything you don't have the rights to, or that infringes someone else's rights,

unless we've agreed to it in writing. Because your documents are sent to third-party AI providers for processing, treat anything you upload as leaving our systems.

6. AI output & no reliance

The Service uses AI models to generate datasets, responses, and evaluations. AI output can be inaccurate, incomplete, biased, or offensive, and small fine-tuned models in particular can “hallucinate.” You're responsible for how you use any output, and you should independently verify anything important. Nothing here is professional (legal, medical, financial) advice.

7. Acceptable use

You agree not to:

  • use the Service to violate the law or others' rights;
  • upload malware, or attempt to breach, overload, or disrupt the Service or its infrastructure;
  • abuse free tiers, credits, rate limits, or GPU/compute resources, or script excessive requests;
  • reverse-engineer or try to extract source code, model weights, system prompts, other users' data, or non-public infrastructure;
  • resell or provide the Service to third parties except as we permit.

8. Plans, credits & payments

The Service offers a free tier, one-time tuning credits, and (where available) a paid Pro plan. Payments are processed by Stripe; your card details go to Stripe and are not stored by us. Purchased credits are non-refundable except where required by law. Monthly Pro allowances refresh each calendar month and do not roll over; purchased credits accumulate and do not expire while your account is active. Prices and limits may change with notice.

9. Service availability & warranties

The Service is provided “as is” and “as available,”without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that models will meet your expectations.

10. Limitation of liability

To the maximum extent permitted by law, Icosa and its suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service is limited to the greater of the amounts you paid us in the 3 months before the claim, or US $100.

11. Suspension & termination

You can stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if your use creates risk to the Service, other users, or third parties, or as needed to comply with law. After termination we may delete Your Data from active systems, subject to the retention below.

12. Data deletion & retention

You can request deletion of Your Data by emailing us. After account closure or on request, we'll delete Your Data from active systems within a reasonable period, except where we need to retain it for legal, tax, accounting, security, or fraud-prevention purposes, or in routine backups that expire on a schedule. Data already transmitted to third-party providers is subject to their retention practices.

13. Changes to these terms

We may update these Terms as the Service changes. If we make material changes, we'll update the date above and, where appropriate, notify you. Continuing to use the Service after changes take effect means you accept the updated Terms.

14. Governing law & contact

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Questions, data requests, or notices: info@icosacomputing.com.
